Terms and conditions for the provision of tutoring services by OR Tuition
1. ABOUT ME
1.1. I am Elizabeth Purvis trading as “OR Tuition” (Tutor or we or us).
1.2. I am not currently registered for VAT.
1.3. I operate an information website at ortuition.co.uk (Website).
1.4. I am the principal tutor. I am a qualified teacher of English language and literature, working as
an independent tutor providing tutoring and coaching support both in person and/or online from
my base in the UK at [ADDRESS].
1.5. As required, we might introduce other tutors from time to time with equivalent experience and
qualifications.
2. BASIS
2.1. Except as otherwise varied by agreement in writing, these terms and conditions (Standard
Terms) and any key basis of tuition requirements specified in an email and/or Schedule (Key
Terms) shall apply to the services provided by the Tutor and shall constitute the agreement
between the person receiving the tuition (Student), or with the Student’s parent or legal
guardian if the Student is under 18 (in these Standard Terms, Client).
2.2. For the purposes of the agreement, the Client, and/or the Student for the one part, and the
Tutor for the other, are the Parties (and each a Party).
2.3. The Tutor agrees to provide tutoring services to the Student in the Subjects and on the basis
specified in the Key Terms.
2.4. Tutoring shall either take place In Person at the location specified in the Key Terms or
Remotely via video conference on Zoom, Teams (or other) at the scheduled time as arranged in
advance and confirmed (together with the appropriate link) prior to the session.
2.5. Tutoring shall either be on an As-needed Basis (where the Client requests tutoring as required
on dates and at times determined by mutual agreement in advance) or on a Fixed Schedule
Basis (as specified in the Key Terms as varied from time to time).
2.6. From a safeguarding perspective, for the safety and wellbeing of all pupils and the tutor, a
parent or responsible adult must be present at the property for the duration of any In Person
session.
2.7. We are fully aware of our obligations concerning safeguarding and we take our safeguarding
responsibilities seriously. Elizabeth Purvis holds a current Enhanced DBS, certificate, is registered
with the DBS Update Service, and completes annual safeguarding training to ensure continued
compliance and awareness of best practice, including the reporting of any concerns.
3. TERM, CANCELLATION AND LATENESS
3.1. This agreement shall begin with the first scheduled tuition session (Commencement Date)
and shall continue either on an Ongoing Basis until cancelled by either party by [30] days’
notice or on a Fixed Basis until an End Date, in either case as specified in the Key Terms.

3.2. The Client may cancel a scheduled session by providing the Tutor with not less than [48 hours]
notice; if less notice is provided, the Client will still be charged for the session, except in cases of
Student illness or family emergency.
3.3. If the Student arrives late to a scheduled session, the Tutor is under no obligation to stay beyond
the session’s scheduled end to provide the Student with the full session length. If the Student
arrives more than 15 minutes late to a scheduled session, the Student is considered a “no show,”
in which case the Client will be charged full price for the session regardless of whether any
tutoring services are provided.
3.4. If the Tutor arrives late for a scheduled session, the Client may choose to add the missed time to
a future session at no additional cost, receive a partial refund, or receive a partial credit toward a
future session.
4. TUTOR’S OBLIGATIONS
4.1. The Tutor agrees to provide tutoring services that meet or exceed normal secondary educational
standards in English schools and as appropriate for the Student’s age and educational level.
4.2. The Tutor must maintain an understanding of the curriculum and expectations for the subject
and examination board or level specified in the Key Terms.
4.3. The Tutor is required to treat the Student with courtesy and professionalism, to behave during
sessions in a manner suitable for the age of the Student, and to inform the Client if the Tutor
possesses a good faith belief that there are issues unknown to the Client that may be hindering
the Student’s performance in the subject.
4.4. Where necessary or appropriate the Tutor will raise any safeguarding concerns with the Client or,
as the case may be, any introducing agency.
5. CLIENT’S OBLIGATIONS
5.1. The Client agrees to ensure that the Student is adequately prepared for each session, including
having all books, materials, instructions, or other items necessary for tutoring services to be
effective.
5.2. The Client must explain to the Tutor any aspects that may be outside of the subject areas
addressed in the Key Terms, but which are necessary for tutoring services to be effective,
including how to use any educational technology or learning management systems that the
Student requires.
5.3. The Client will make every effort to communicate with the Tutor about alterations to any agreed
schedule with as much notice as possible.
6. RESULTS AND BEHAVIOUR
6.1. The Tutor makes no guarantees regarding results in terms of the Student’s grades or
performance for any particular project, assignment, or class.
6.2. The Tutor reserves the right to terminate any tuition session if in the reasonable opinion of the
Tutor the Student misbehaves, is rude, inattentive, or otherwise proves difficult to teach.
6.3. The Tutor may (in its absolute discretion) terminate this agreement forthwith if the Tutor
concludes that a Student is not devoting sufficient time and attention to his or her studies and
that there is no reasonable prospect that the Student will progress.

7. FEES
7.1. The Client will be charged tuition fees for each tuition session at the hourly rate specified in the
Key Terms or pro rata for every additional 15 minutes of session time, such fees to be payable in
advance of each session unless otherwise specifically agreed in writing.
7.2. All such fees are currently exclusive of VAT, but the Tutor reserves the right to register for and
charge VAT if circumstances dictate. If the Tutor elects to introduce VAT the Client may, at its
option, terminate this agreement without penalty.
7.3. The hourly rates will be reviewed annually, and any increase will be notified not less than 30
days before the relevant session.
7.4. Payments should be made by electronic funds transfer to the following account: [NAME, BANK,
SORT CODE, ACCOUNT NUMBER], specifying the name of the Student.
7.5. The Tutor reserves the right to cancel any scheduled tuition session for which payment has not
been received.
8. MISCELLANEOUS
8.1. Independent Contractor. It is agreed that the Tutor will be considered an independent
contractor for the purposes of this agreement:
8.1.1. it will operate as an independent business; and
8.1.2. will use its own tools and equipment in fulfilling the agreement.
8.2. Taxes. Any taxes due as part of the Tutor providing their Services in this agreement are the sole
responsibility of the Tutor.
8.3. Additional Services. Any additional services (Additional Services) must be requested by the
Client in writing and must be agreed by the Tutor. Should a request for Additional Services be
accepted, the Client agrees to pay any and all fees charged by the Tutor for the Additional
Services.
8.4. Liability and Indemnification. The Tutor will not be liable for direct, indirect, incidental, or
consequential damages (including, but not limited to, declining grades) with respect to any claim
related to this agreement and the Services provided. The Client indemnifies and holds harmless
the Tutor and any employees or subcontractors working with the Tutor against all liability related
to the tutoring. The Client will assume all legal fees claimed by third persons, provided that such
loss or damage was not caused by the fault or negligence of the Tutor or its employees, agents,
or subcontractors.
9. NOTICES AND OTHER COMMUNICATIONS
9.1. Any formal notice relating to the agreement must be sent to the email and/or postal addresses
provided in the Key Terms unless the relevant Party notifies a change by email and/or post.
9.2. Notices are deemed to be received when sent by:
9.2.1. Email - on the Weekday (Monday To Friday) from 9am to 5pm UTC (but excluding any
public holiday in England) on which they were sent, provided the sender has a valid
successful delivery receipt.
9.2.2. Post - using any tracked service - on the date that the relevant postal service obtains a
record of receipt from or on behalf of the addressee.
9.3. Ordinary day to day communication between the Tutor and the Client may be effected by email,
WhatsApp, or other convenient means, as agreed between the Parties from time to time.
10. SEVERABILITY
Should any provision of this agreement be determined to be void, invalid, unenforceable, or illegal
for whatever reason, such provision(s) shall be null and void; provided, however, that the
remaining provisions of this agreement shall be unaffected thereby and shall continue to be valid
and enforceable.
11. GOVERNING LAW
This agreement shall be construed and governed in accordance with the laws of England and the
Parties submit to the exclusive jurisdiction of the Courts of England and Wales.
12. ENTIRE AGREEMENT
This Contract constitutes the entire Contract between the Parties. No modification or amendment
of this Contract shall be effective unless in writing and signed by both Parties.
13. REVISIONS AND FORMALITIES
13.1.These Standard Terms may be revised from time to time and shall become effective as revised
when published on the Website.
13.2.These Standard Terms as varied by any Key Terms shall become effective as an agreement
between the Parties upon transmission of a Key Terms email and/or Schedule and upon payment
of the first of any fees without the need for formal signature. Commencement of the tutoring
services shall be deemed acceptance of the terms and shall constitute an agreement between
the Parties.
